uRecroot Terms and Conditions
Welcome to uRecroot, a Taldeco company. These Terms and Conditions ("Terms") govern
your access to and use of uRecroot (the "Service"), including any content, functionality,
and services offered on or through the uRecroot platform. By creating an account,
accessing, or using the Service, you agree to be bound by these Terms. If you do not agree
to these Terms, you may not access or use the Service.
1. Acceptance of Terms
By using uRecroot, you acknowledge that you have read, understood, and agree to comply
with these Terms. uRecroot reserves the right to revise, update, or change these Terms at
any time. Changes will take effect immediately upon being posted to the Service, and your
continued use of the Service following such changes constitutes your acceptance of the
revised Terms. It is your responsibility to review these Terms periodically for updates.
2. Services Provided
uRecroot is a Software-as-a-Service (SaaS) platform designed to provide employers,
recruiters, hiring managers, and HR professionals access to candidate resumes and data
for recruiting purposes. The Service includes:
- Access to a database of candidate resumes and profiles.
- The ability to download resumes and detailed candidate data.
- Tools to facilitate staffing, hiring, and internal recruiting solutions.
uRecroot offers subscription plans with varying access and usage limits: - Free
Tier: Provides up to 15 actions total (including resume downloads). - Basic Tier:
Allows up to 25 actions per day.
- Professional Tier: Allows up to 50 actions per day.
The term "actions" refers to any interaction that includes downloading resumes, accessing
candidate details, or similar activities defined by uRecroot.
3. User Accounts and Access
To use the Service, you must create an account by providing accurate and up-to-date
information, including payment details. By creating an account, you agree to: -
Maintain the confidentiality of your account credentials, including username and
password.
- Use the Service only for authorized internal recruiting purposes.
- Refrain from sharing or transferring your account credentials to any other person or
entity.
- Notify uRecroot immediately of any unauthorized use of your account or any security
breach.
uRecroot reserves the right to suspend or terminate accounts that violate these Terms.
Accounts are limited to single-user access tied to the registered email address. Any attempts to circumvent access limitations may result in immediate termination.
4. Payment, Billing, and Subscription Management
uRecroot subscriptions are billed on a recurring monthly basis and will renew
automatically unless canceled by the user. Payment processing is handled securely through
Stripe, a third-party payment processor. By subscribing, you authorize uRecroot to charge
your payment method for the applicable fees at the beginning of each billing period.
- Cancellations: You may cancel your subscription at any time through your account
settings. Upon cancellation, no refunds will be issued for unused actions. You will not retain
access to the Service until the end of your billing cycle.
- Upgrades and Downgrades: You may upgrade your subscription mid-billing cycle by
paying the difference in pricing. Downgrades take effect at the start of the next billing cycle,
and no refunds will be issued for the difference in pricing.
- Non-Payment: uRecroot reserves the right to suspend or terminate access to the
Service if payment is not successfully processed.
5. Acceptable Use and Restrictions
You agree to use uRecroot solely for lawful and authorized purposes related to internal
recruiting and hiring efforts. By accessing or using the Service, you agree not to: - Sell,
share, or distribute resumes or candidate data to unauthorized third parties. - Use the
Service for any purpose other than internal recruiting and staffing. - Access the Service
through automated means (e.g., bots, scripts, or scraping tools). - Attempt to bypass access
restrictions, subscription tiers, or security measures. - Misuse, reverse-engineer, or
interfere with the platform’s functionality.
Any violation of these restrictions will result in the immediate suspension or termination of
your account without refund. uRecroot reserves the right to pursue legal action, including
claims for damages, in cases of misuse, unauthorized use, or data exploitation.
6. Intellectual Property Rights
All content, features, and functionality of the uRecroot platform, including but not
limited to trademarks, logos, software, text, graphics, and data, are the exclusive property
of uRecroot and its licensors. Unauthorized reproduction, copying, modification, or
redistribution of the Service or its content is strictly prohibited.
By using the Service, you grant uRecroot the right to use your company’s name, logos, or
trademarks for marketing and promotional purposes, including on the uRecroot website
and advertising materials. If you wish to revoke this permission, you may do so by
providing written notice to support@urecroot.com.
7. Disclaimers and Limitation of Liability
uRecroot provides its Service "as-is" and makes no representations or
warranties, express or implied, regarding the accuracy, reliability, or completeness of
candidate resumes or data. Users acknowledge that:
- uRecroot is not responsible for inaccuracies in candidate data or resumes. - The
Service is provided without guarantees for specific outcomes, results, or
uninterrupted access.
- uRecroot shall not be liable for any direct, indirect, incidental, or consequential damages
arising from the use or inability to use the Service, including but not limited to data loss,
business interruptions, or financial losses.
In the event of a data breach, despite best security practices, uRecroot disclaims liability
for damages resulting from unauthorized access to candidate or user data.
8. Indemnification
You agree to indemnify, defend, and hold harmless uRecroot, its affiliates, officers,
employees, and agents from any claims, liabilities, damages, or expenses (including legal
fees) arising out of:
- Your violation of these Terms.
- Misuse of the Service.
- Unauthorized use or distribution of candidate data.
9. Service Availability
uRecroot strives to provide uninterrupted access to the Service but reserves the right to
perform maintenance, updates, or modifications that may result in temporary downtime.
uRecroot will make reasonable efforts to notify users of scheduled maintenance in advance
but does not guarantee uninterrupted service.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Michigan, without regard to its conflict
of law principles. Any disputes arising under or in connection with these Terms shall be
resolved exclusively in the courts located in Troy, Michigan. You consent to the jurisdiction
of such courts for the resolution of disputes.
11. Privacy and Data Security
User payment information is processed securely through Stripe, and uRecroot does not
store credit card details. uRecroot is committed to protecting user and candidate data
stored on its cloud infrastructure and employs best security practices to prevent
unauthorized access.
